Commercial Music License Agreement

This Commercial Music License Agreement (“Agreement”) is entered into by and between Adrienn Rozner Production Ltd., a company registered in England and Wales under company number 16300071, with its principal place of business at 52 Frost Road, Bournemouth, BH11 8HR, United Kingdom (hereinafter referred to as the “Licensor”), and the purchaser of the music track (hereinafter referred to as the “Licensee”), effective as of the date of purchase (“Effective Date”).

1. Grant of License

Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to use the musical work titled ”[Adrienn Rozner’s Song Name]”(hereinafter referred to as the “Work”) for lawful commercial purposes, including but not limited to:

• Synchronization in videos, films, and advertisements

• Use in YouTube, Vimeo, TikTok, Facebook, Instagram, and other social media platforms

• Corporate or internal presentations

• Podcasts and online broadcasts

• Background music for websites, apps, software, or video games

• Use in public events, performances, or exhibitions

This license permits the Licensee to use the Work in an unlimited number of commercial projects without incurring additional fees, provided that such use remains within the scope defined herein.

2. Limitations and Restrictions

The Licensee expressly agrees to the following restrictions:

• The Work may not be resold, sublicensed, leased, distributed, or otherwise made available to third parties as a standalone audio file or part of a music collection or library.

• The Licensee shall not claim ownership, authorship, or copyright of the Work or any derivative thereof.

• The Work may not be registered with any content identification, fingerprinting, or digital rights management system (such as YouTube Content ID) by the Licensee.

• This license does not permit the use of the Work in unlawful, defamatory, obscene, or hateful content, or in association with products, brands, or campaigns promoting violence, racism, or discrimination.

3. Ownership and Intellectual Property Rights

The Licensor retains full ownership and all intellectual property rights in and to the Work, including all copyrights, publishing rights, master rights, and all moral rights not expressly waived.

This Agreement does not constitute a sale of the Work or any portion thereof. No title, interest, or ownership in the Work is transferred to the Licensee.

4. Attribution (Optional but Appreciated)

While attribution is not required, it is encouraged where feasible. A suggested credit line is:

“Music composed and licensed by Adrienn Rozner Production Ltd. – All Rights Reserved.”

5. Delivery and Payment

The Licensee shall pay a one-time license fee of £[Insert Price]. Upon successful payment, the Licensor will provide access to a digital download of the Work in MP3, WAV, or other specified formats.

No physical copies shall be provided unless otherwise agreed in writing.

6. Term and Termination

This license shall remain in effect in perpetuity unless terminated earlier due to breach of this Agreement.

The Licensor reserves the right to revoke the License, without refund, in the event that the Licensee violates any of the terms outlined herein. Upon termination, the Licensee shall immediately cease all use of the Work.

7. Warranties and Disclaimers

The Licensor represents and warrants that it owns the full rights to the Work and has the authority to grant this license.

Except as expressly provided herein, the Work is licensed “as is” without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

The Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to the Licensee’s use of the Work.

8. Indemnification

The Licensee agrees to indemnify, defend, and hold harmless the Licensor and its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with the Licensee’s breach of this Agreement or misuse of the Work.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in London, United Kingdom.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind. Any amendments or modifications must be made in writing and signed by both parties.

11. License Certificate

A digital license certificate will be issued to the Licensee upon purchase, including the song title, purchase date, transaction ID, and Licensee details as proof of authorized use.

IN WITNESS WHEREOF, the parties agree to the above terms upon completion of the transaction and download of the Work from the Licensor’s website.
